Welcome to Qoach! These Terms of Use ("Terms") govern your use of www.qoach.io (the "Platform"), operated by Qoach IO Inc., located at 1209 Orange St., Wilmington, DE 19801, USA.

By accessing or using Qoach, you agree to these Terms. If you do not agree, please do not use our Platform.

1. Who Can Use Qoach

To use the Platform, you must:

• Be at least 18 years old.
• Have full power and authority to enter into these Terms.
• Agree to provide accurate information.
• Use the Platform for lawful purposes.

2. Your Qoach Account

You are responsible for:

• Maintaining confidentiality of your account credentials.
• All activities that occur under your account.

Qoach reserves the right to suspend or terminate accounts at its discretion for violations of these Terms or suspected abuse.

3. Use of the Platform

Qoach provides a platform to:

• Discover and connect with professional coaches.
• Book and manage coaching sessions or programs.
• Share and consume coaching-related content (blogs, videos, tips).
• Build professional reputation and networks.

You agree not to:

• Use Qoach for any unlawful, harmful, or misleading purpose.
• Impersonate another person or misrepresent your identity.
• Harvest user data or content without permission.
• Post or share discriminatory, offensive, or harmful content.

4. Coach Subscriptions & Payments

• Coaches can use Qoach under Free, Silver ($19/mo), or Premium ($29/mo) plans.
• Users (coachees) are not charged to access the platform or coaches.
• Booking commissions apply: 10% for Free, 5% for Silver, and 0% for Premium plans.
• Payments and payouts are securely processed via third-party providers (e.g., Stripe).
• Coaches agree to comply with applicable tax obligations in their jurisdiction.

5. Intellectual Property

All content on Qoach, including text, images, video, branding, and software, is either owned by or licensed to Qoach.

You may not:

• Copy, reproduce, modify, or distribute our content without permission.
• Use the Qoach brand, logo, or trademarks without written consent.

You retain rights to the content you submit (e.g., blog posts, reviews), but grant Qoach a royalty-free, worldwide license to use it for promotional and platform purposes.

6. Reviews and Feedback

• Coachees may leave text-based reviews after sessions and programs. Star ratings are used internally to generate average scores.
• Coaches may leave internal feedback on coachees (not public).
• Qoach may remove reviews that violate content policies or community standards.

7. Third-Party Tools & Services

• Qoach may integrate with third-party services (e.g., calendar, video calls, analytics). We're not responsible for the content, privacy policies, or practices of those services.
• Use of third-party tools is at your own risk.

8. Termination

You may delete your account at any time. We may suspend or terminate access if you:

• Breach these Terms.
• Violate community standards.
• Engage in fraud, abuse, or misuse.

Upon termination:

• Your content may be deleted or retained as per our Privacy Policy.
• We may preserve account history as required by law or internal policy.

9. Disclaimers

Qoach is a platform for connecting coaches and coachees. We do not:

• Guarantee the results of coaching sessions.
• Endorse or certify coaches listed on the Platform.
• Offer legal, mental health, or professional guarantees.

Use of Qoach is at your own risk.

10. Limitation of Liability

To the extent allowed by law, Qoach IO Inc. and its affiliates are not liable for:

• Indirect, incidental, special, or consequential damages.
• Loss of profits, data, or goodwill.
• Disputes between coaches and coachees.

Total liability is limited to the greater of $100 or the amount paid to us in the previous 12 months.

11. Changes to Terms

We may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance. Significant changes will be communicated via email or platform notice.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Delaware, USA.
All disputes will be resolved in the Court of Chancery of the State of Delaware, unless agreed otherwise.
